Terms of Service Agreement

PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY. BY SOURCING YOUR PROJECT TO GOLDEN LINES TRANSLATION, INC., YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT.
This Agreement (the “Agreement”) is between you (the “Client”) and Golden Lines Translation, Inc. (the “Language Service Provider”) and governs the language service you are receiving from Golden Lines Translation, Inc., including your use of our website, (www.goldenlines.ca) (the “Website”), invoicing, and payments made to Golden Lines Translation, Inc.
This Agreement includes, and incorporates by this reference, the policies and guidelines referenced below. Golden Lines Translation, Inc. reserves the right to change or revise the terms and conditions of this Agreement at any time by posting any changes or a revised Agreement on our website. In the event of the change or revision, Golden Lines Translation, Inc. will alert you that changes or revisions have been made by indicating on the top of this Agreement the date it was last revised.
The changed or revised Agreement will be effective immediately after its release. Therefore, Golden Lines Translation, Inc. strongly encourages our clients to review this Agreement before they decide to work with us. Your use of our language services following the posting of any such changes or of a revised Agreement will constitute your acceptance of any such changes or revisions. This Agreement does not alter in any way the terms or conditions of any other written agreement you may have with Golden Lines Translation, Inc. for other products or services.
- LANGUAGE SERVICES
Golden Lines Translation, Inc. offers a wide range of language services. Your requested services are governed by this Agreement. For more information regarding our language services, please see the list under “Services” on our homepage at www.goldenlines.ca.
- OUR QUALITY ASSURANCE
To ensure the quality of our clients’ projects, we follow a number of quality assurance criteria. Every translation project goes through eight different steps from start to finish, while other projects such as linguistic validation go through multiple steps of thorough reviews intended to validate their accuracy. Our language services are certified by ISO 17100, which is a requirement for Language Service Providers. Our linguists are experienced, academically trained, native users of their target language, and are required to submit proof of their academic record verification along with their application for employment with us. - REQUESTING A QUOTE
Upon initial contact, Golden Lines Translation, Inc. will give you a quote for you to approve. We strongly encourage our clients to request a quote. To request one, please go to our Website’s homepage and click on Request A Quote or follow this link Request A Quote. The quote will include our fees, timeline, and payment options. It is important that you approve our quote and reference it while making payment. If you are a regular client and have our rate card, requesting a quote is optional but you are still bound by all the terms of this Agreement.
- REQUESTING MORE INFORMATION
- USING OUR CLIENT PORTAL
Once you accept our quote, Golden Lines Translation, Inc. will refer you to our Client Portal so that you can start the project creation process. This is a safe way for our clients to create secure accounts and share their project files with our project team. This is also where you will go to make your payments. To start a project, you will be asked to create an account, log in, and upload your files. Once your project is completed, we will notify you by email so that you can download them from your account unless you prefer otherwise.
Once your project is completed, we allow a seven-day period for you to check it for accuracy. If we do not receive any questions or complaints from you, we send out an invoice after that period. Our invoice will contain information and instructions on how to pay. We allow 30 days following invoicing for you to make the payment. If no payment is received within that period, there is no penalty, but we will send a reminder to pay. We will do this at least once and allow another 15 days. If no payment is made within this 45-day period, we will send you an updated invoice with a 15% penalty based on your invoice amount. It is important for our clients to make the necessary payments so that we can continue to run our operations, including paying our staff. If you run into issues while making your due payment, please advise our Finance Department at firstname.lastname@example.org.
All payments to Golden Lines Translation, Inc. are made online through our Website under our Client Portal unless otherwise agreed upon. Some of our clients are based outside of Canada and our local payment options are not convenient for them. Wire payments are acceptable if you are based outside of Canada. A minimum of 100 US dollars is required to make such payments and you must receive an invoice from Golden Lines Translation, Inc. requesting payment in that amount.
Golden Lines Translation, Inc. allows our clients to request a refund in the event of dissatisfaction and lack of conflict resolution. Within the seven-day period that we allow to check your project for accuracy, we encourage you to give us feedback about any discrepancies you will notice. Our Project Management team will do their best to address such issues at no cost to you. In the event of total dissatisfaction, you are allowed to request a refund. - LIMITATION OF LIABILITY
Golden Lines Translation, Inc.’s entire liability, and your exclusive remedy, in law, in equity, or otherwise, with respect to the use of our Website and products and/or services thereto for any breach of this Agreement is solely limited to your quote or invoice amount.
Golden Lines Translation, Inc. will not be liable for any direct, indirect, incidental, special or consequential damages in connection with this Agreement or our services in any manner, including liabilities resulting from (1) the use or the inability to use the Website, products and/or services; (2) the cost of procuring services from other providers; (3) any other products or services purchased or obtained or transactions entered into through the Website; or (4) any lost profits you allege. Please note that some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to you.
You will release, indemnify, defend, and hold harmless Golden Lines Translation. Inc., and any of our clients, partners, contractors, agents, employees, officers, directors, shareholders, affiliates and assignees from all liabilities, claims, damages, costs and expenses, including reasonable attorneys’ fees and expenses, of third parties relating to or arising out of (1) this Agreement or the breach of your warranties, representations and obligations under this Agreement; (2) the Website or your use of the Website; (3) the products or your use of the products, including our third party payment processors and supplier software and applications; (4) any intellectual property or other proprietary rights of any person or entity; (5) your violation of any provision of this Agreement; or (6) any information or data you supplied to Golden Lines Translation, Inc.
When Golden Lines Translation, Inc. is threatened with suit or sued by a third party, Golden Lines Translation, Inc. may seek written assurances from you concerning your promise to indemnify Golden Lines Translation, Inc.; your failure to provide such assurances may be considered by Golden Lines Translation, Inc. to be a material breach of this Agreement. Golden Lines Translation, Inc. will have the right to participate in any defense by you of a third-party claim related to your use of any of our products and services, with counsel of Golden Lines Translation, Inc. choice at its expense.
Golden Lines Translation, Inc. will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have the sole responsibility to defend Golden Lines Translation, Inc. against any claim, but you must receive Golden Lines Translation, Inc. prior written consent regarding any related settlement.
- FORCE MAJEURE
Force Majeure. Golden Lines Translation, Inc. will not be deemed in default hereunder or held responsible for any cessation, interruption, or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, war, terrorism, armed conflict, or labor strike.
- CESSATION OF OPERATION
Golden Lines Translation, Inc. may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and offer of services. In the event Golden Lines Translation, Inc. ceases operation, we will handle all outstanding services and disputes but will not accept any new service requests.
- ENTIRE AGREEMENT
This Agreement comprises the entire Agreement (the Agreement) between you (the Client) and Golden Lines Translation, Inc. and supersedes any prior agreements pertaining to the subject matter contained herein.
- GOVERNING LAWS; JURISDICTIONS
This Agreement will be governed by the laws of the Province of Manitoba. Neither you nor Golden Lines Translation, Inc. will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in Manitoba. By using our services, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding, or claim arising under or by reason of this Agreement. You hereby waive any right to trial by jury arising out of this Agreement and any related documents.
- STATUTE OF LIMITATION
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Golden Lines Translation, Inc. reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. If you are our regular client under a contract, your contract with Golden Lines Translation, Inc. may also be terminated along with your access to the Website unless you (the Client) take measure to address the breach and guarantee to continue to protect Golden Lines Translation, Inc. and all our clients, partners, contractors, agents, employees, officers, directors, shareholders, affiliates and assignees from such breaches in the future.
Following termination, you will not be permitted to use the Website and Golden Lines Translation, Inc. may, in its sole discretion and without advance notice to you, cancel ongoing relationships and terminate your access to your account(s). If your access to the Website is terminated, Golden Lines Translation, Inc. reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Website.
This Agreement will survive indefinitely unless and until Golden Lines Translation, Inc. chooses, in its sole discretion and without advance to you, to terminate it. By using our services and the Website, you agree to be bound by all of the Terms and Conditions of this Agreement.
